Terms of Service & Advisory Agreement

These Terms of Service ("Terms") govern your use of the website operated by Solum Global LLC ("Solum Global", "we", "us", or "our"), a Wyoming limited liability company, and set forth the framework governing all executive mentorship, consulting programs, and strategic advisory services provided to client companies.

Solum Global LLC provides private, high-ticket executive mentorship and commercial advisory services to founders, operators, and enterprises engaged in digital commerce and cross-border DTC sales. Our engagements typically encompass:

2. Professional Disclaimer & Client Responsibility

Solum Global LLC provides strategic, operational, and commercial business advice based on industry experience. Solum Global LLC is not an investment advisor, registered broker-dealer, certified public accountant, or law firm. Nothing on our website or shared during advisory sessions constitutes formal legal, tax, or financial underwriting advice.

The client retains sole decision-making authority over all commercial actions, budget allocations, ad spending, regulatory compliance, and business operations.

3. Application, Acceptance & Invoicing

Advisory engagements are strictly limited and provided pursuant to formal intake review and executed Engagement Letters or Statements of Work (SOW). Fees are denominated in United States Dollars (USD) and payable via domestic/international wire transfer, ACH, or authorized corporate payment systems. Advisory retainers and sprint fees are non-refundable once an advisory slot is reserved and diagnostic work commences.

4. Confidentiality & Non-Disclosure (NDA)

Both parties agree to treat all exchanged financial statements, revenue metrics, conversion data, vendor contracts, proprietary methodologies, and business strategies as confidential information. Neither party shall disclose such proprietary information to any unauthorized third party without prior written consent.

5. Intellectual Property Rights

All proprietary frameworks, operational blueprints, financial models, audit templates, and instructional materials developed or supplied by Solum Global LLC remain our exclusive intellectual property. Clients are granted a limited, non-transferable, non-exclusive license to utilize these materials solely for their own internal business operations.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Solum Global LLC and its members, officers, and contractors shall not be liable for any indirect, punitive, incidental, special, or consequential damages, including loss of profits, advertising losses, supplier delays, or data loss arising from advisory recommendations. Our maximum aggregate liability shall not exceed the total fees paid by the client under the specific engagement during the preceding three (3) months.

7. Governing Law & Dispute Resolution

These Terms and any related agreements shall be governed by, and construed in accordance with, the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through good-faith executive negotiation or settled exclusively in the competent state or federal courts located in Wyoming.
